Terms & Conditions

TITCHFIELD MEDIA LIMITED TERMS & CONDITIONS

1. Client Orders
Where an order by the client is made subject to the client's printed standard form conditions not expressly and specifically put forward as a modification of the conditions hereinafter appearing, the client's response to the quotation shall operate as an order placed without such conditions, and the conditions hereinafter shall apply.
2. Property of Goods
The property in any goods the subject of a sale or agreement for sale by TITCHFIELD MEDIA LIMITED shall, unless otherwise agreed, remain in the possession of the company until it has received in cash the whole of the contract price.
3. VAT
TITCHFIELD MEDIA LIMITED shall be entitled at any time to recover from the client the total VAT payable on any item of goods or services provided to the client at the date of delivery of the goods or provision of the service, whether or not such tax or only part thereof has been charged on the quotation or invoice.
4. Warranty
TITCHFIELD MEDIA LIMITED does not give any warranty as to the quality, state, condition or fitness of any goods sold by it, unless otherwise agreed by a company director.
5. Payment Terms
(i) On the creation of an account, the first project is paid on provision of a pro-forma invoice.
(ii) Thereafter, payment terms are strictly 30 days account — i.e. payment to be received within 30 days following the invoice date.
The client shall not be entitled on any ground whatsoever to withhold payment when it becomes due, and agrees to pay TITCHFIELD MEDIA LIMITED interest on any balance remaining due on the date for payment at 4% per annum over Barclays Bank base rate.
6. Contract Price
The contract price is based on TITCHFIELD MEDIA LIMITED production capacity, internally published scheduled rates, material prices and other charges currently ruling at the date of completion of the contract.
The client will be liable to pay any additional monies resulting from any increase in such rates, prices and charges between the date of the quotation and the completion of the contract.
7. Artwork and Copy
(i) TITCHFIELD MEDIA LIMITED reserves the right to charge the client for all experimental copy, sketches, artwork and positives prepared at the client’s request.
(ii) All such items will be submitted for the client’s approval, and no responsibility will be accepted for any errors or defects in items submitted to and approved by the client.
(iii) If the client gives an order to TITCHFIELD MEDIA LIMITED, responsibility will not be accepted for any assumptions made in the absence of clear written instructions.
8. Expedited Delivery
Should expedited delivery be agreed and necessitate overtime or other additional costs, TITCHFIELD MEDIA LIMITED may make an additional charge to the client.
9. Cancellation
Cancellation of any order may be made by notice in writing, whereupon TITCHFIELD MEDIA LIMITED shall be entitled to charge a fair and reasonable price for all work completed or in progress at the time of cancellation.
10. Additional Expenses
Where TITCHFIELD MEDIA LIMITED incurs expense for work done, materials supplied, or travel and accommodation beyond what is provided in the quotation, such expense shall be reimbursed by the client.
A detailed statement of such additional expenses shall be submitted upon completion of the specified work.
11. Liability
TITCHFIELD MEDIA LIMITED shall not be liable for indirect or consequential loss to the client or any other person arising from errors in carrying out work or from delay in delivery.
12. Client-Supplied Materials
Where execution of the work involves materials or equipment supplied by the client:
(i) Such items will be at the risk of the client while in the possession or custody of TITCHFIELD MEDIA LIMITED, its servants or agents.
(ii) TITCHFIELD MEDIA LIMITED will not accept responsibility for imperfect work arising from materials or equipment proving defective or unsuitable.
(iii) The client will supply sufficient materials to cover spoilage.
13. Indemnity
The client will indemnify TITCHFIELD MEDIA LIMITED against all claims, costs, damages and expenses, whether direct or indirect, arising out of the production or reproduction of any matter or design which is, or is alleged to be, illegal, defamatory, or an infringement of copyright, patent, trade mark, or design.
14. Copyright in Originals
Orders for the reproduction of originals are accepted on the understanding that the client holds all necessary rights and will indemnify TITCHFIELD MEDIA LIMITED from any liability arising from such reproduction.
15. Risk and Claims
From the time goods are dispatched from TITCHFIELD MEDIA LIMITED premises or those of its subcontractor or agent, all risk of loss, damage or deterioration shall be borne by the client.
All other claims must be made in writing within 7 days of delivery.
16. Artwork Storage
Supplied artwork is normally stored for a maximum of 3 months unless otherwise agreed.
17. Value of Materials
Artwork or other materials sent for processing are accepted on the understanding that their value is not greater than the current retail price of equivalent new unused material.
In case of damage or loss, TITCHFIELD MEDIA LIMITED liability does not exceed the replacement of equivalent material.
18. Ownership and Copyright
Where time constraints prevent artwork or proofs from being submitted for approval, TITCHFIELD MEDIA LIMITED shall not be liable for any errors in the resulting work.
Photographic and written work shall pass to the client upon payment in full, but the ownership of all artworks, dies and other materials used remains with TITCHFIELD MEDIA LIMITED, unless a charge is agreed beforehand.
19. Publicity Rights
Unless otherwise agreed, TITCHFIELD MEDIA LIMITED shall be entitled to use any material prepared for the client (including sample pieces and images of finished products) for the purpose of publicising its work.
20. Colour Variation
Whilst every effort is made to ensure that printed colours match samples received, no responsibility can be accepted for variations in colour between batches of ink, substrate materials or differing printing conditions.
21. Print Size and Dimensions
Print size and dimensions can only be maintained within reasonable limits normally associated with our printing processes.
